3. Service Engagements & Contracts

All projects or services initiated by clients will require a signed agreement or proposal, outlining:

  • Project timeline

  • Deliverables

  • Payment structure

  • Client responsibilities

We reserve the right to decline or terminate services if the client breaches terms outlined in the agreement.

4. Subscription Services

For recurring services such as monthly SEO, content marketing, or social media management, clients agree to a minimum subscription period (usually 3 months unless stated otherwise). Subscriptions auto-renew monthly unless canceled with a minimum of 14 days' notice before the renewal date.

5. Payments & Invoicing

Payment terms are outlined in the project agreement or subscription plan. Payments may be due:

  • Upon signing (deposit)

  • At milestones

  • Monthly (for ongoing services)

Late payments may incur penalties or result in paused services. All prices are quoted in Kenyan Shillings (KES) or as agreed.

6. Service Guarantees

We guarantee a professional standard of work, timely delivery, and open communication throughout projects. While we strive for measurable improvements (e.g., in SEO or conversions), we do not guarantee specific rankings, traffic volume, or sales outcomes due to variables beyond our control.

7. Revisions & Feedback

We typically include 1–2 rounds of revisions per project unless otherwise stated. Delays in client feedback may impact timelines. Significant changes beyond the agreed scope may incur additional fees.

8. Intellectual Property

All intellectual property created by Nexa Digital Solutions remains our property until full payment is received. Upon full payment, rights to the final deliverables are transferred to the client. We reserve the right to showcase completed work in our portfolio.

9. Termination

Either party may terminate an agreement with written notice. If terminated before project completion, the client is responsible for payment for work completed up to that point.

10. Limitation of Liability

Nexa Digital Solutions shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Clients accept that outcomes may vary and that all business decisions are ultimately their own.
